About the Opportunity

Volunteer Board Chair, CanadaHelps

CanadaHelps is seeking a dynamic and experienced individual to join the Board of Directors as the Board Chair. 

The Board Chair is a CanadaHelps Director responsible for ensuring the effective operations of the board in governing and supporting CanadaHelps and overseeing board affairs. The Chair acts as the representative of the board as a whole. The role involves overseeing governance, and strategy while the day-to-day operations are managed by a highly skilled CEO and staff team.

About the Responsibilities

Leadership

  • Ensure effective governance of the organization.
  • Work closely with the President & CEO to support and ensure their effective working relationship with the Board of Directors.
  • Create opportunities for every Director to contribute to discussion and influence decisions.
  • Support the orientation of new Board Members.
  • The Chair will be responsible to promote and maintain a healthy board atmosphere to foster collaboration, communication and a high level of engagement.
  • Chair a Compensation Work Group to ensure the completion of the annual objective setting, appraisal, and remuneration review of the President and CEO.
  • Where appropriate, attend CanadaHelps events to network and cultivate relationships on behalf of the organization.

Governance

  • Chair all meetings of the Members of the corporation and all Board of Directors meetings, in compliance with meeting protocols to ensure the integrity of the board’s process.
  • Set meeting agendas in consultation with the President & CEO and committee Chairs.
  • Participate in committee role selection, Officer selection, and committee Chair selection.
  • Participate as an ex officio member of the Governance Committee, and the Finance & Audit Committee.
  • Chair the Search and Selection Committee for the President and CEO, when necessary.
  • Champion the principles of Diversity, Equity, and Inclusion, as defined by the Board of Directors, and uphold these principles within the governance structures of CanadaHelps.

About the Requirements

Qualifications & Competencies

  • Passion for the mission and values of CanadaHelps, along with a demonstrated commitment to Canadian charities.
  • Experience in a board leadership role, such as Board Chair, Vice-Chair, or Committee Chair.
  • Deep understanding of non-profit governance practices and principles.
  • Proven leadership experience in a non-profit, charitable organization, or similar environment.
  • Ability to work collaboratively and build consensus among board members and stakeholders.
  • Excellent strategic thinking, planning, and communication skills.
  • Ability to facilitate meetings, generative discussions, and strategic decision-making.
  • A general understanding of current technology trends, with a depth of expertise in this field being an asset.
  • Strong business, financial and risk management skills.
  • Active relationship-builder who can cultivate and strengthen relationships across different teams, partners, and stakeholders.

Term & Commitment

  • Two-year, volunteer board term with opportunity for renewal for up to three terms, based on an annual review conducted by the Governance Committee.
  • CanadaHelps’ Board meets four times per year: two 2-hour video calls, and two full-day meetings (also conducted virtually at present).
  • Ex officio member of the two CanadaHelps Committees, Finance & Audit and Governance, which each meet four times per year by video conference for 60 minutes.
  • Board members are asked to make a personal financial gift as a sign of investment in the organization, at a level that constitutes a meaningful gift for them. To ensure that financial matters are not a barrier to participating on the Board, there is no minimum gift amount.
  • CanadaHelps will cover any travel expenses in relation to attending in-person meetings.

About the Compensation

Salary and Benefits

  • Commensurate with experience, the salary range is $80,000 - $100,000 annually.
  • Competitive benefits, generous pension, and 4 weeks’ vacation (one of these weeks occurs over Christmas when the office is closed) as commensurate with experience.

  • Willingness for flexible hours including some evenings, weekends, with regular travel to visit donors (mostly within the GTA & Ontario), at times with Principal, Trustees, and/or Director of Development & Communications.
  • Unlimited access to a reliable vehicle and a valid Driver’s Licence.
  • A laptop is provided for all required work-related activity including phone calls via Microsoft Teams, enabling the flexibility to work remotely as mutually agreed upon.
  • A dedicated workstation in a shared office space at the College is provided. The incumbent is expected to be in the office 2-3 days per week with the option of working from a remote office for the remaining days upon negotiation.
  • It is expected that the incumbent will spend a significant amount of time out of the office engaged in donor activities.
  • A vulnerable sector police check is required; COVID-19 vaccination is strongly encouraged.
